TERMS:
 

• An initial deposit of at least 20% of the total package price must be paid up front in order for Caroline to begin working. Communicate with Caroline to work out installment price and frequency.

• The website will not be active until full payment is received. The faster the full payment is made, the sooner your website will be completed & active. 

• Payments shall be due within five [5] calendar days of receipt of invoice. A late fee will be added at a rate of 10% of the total compensation for each day after the [5] calendar days the payment has not been made. 

• It will be required that Caroline will create a NEW Development Shopify Account (free) on your behalf, where Caroline is the Owner of the account until completion of the website and all payment has been received. This is just to prevent scenarios where Caroline is removed from the account without receiving payment. 

• You will be added to the Development Account as a Staff Member, where you can monitor the progress of the website whenever you would like!

• The full service will not be completed until the final payment is received. Once full payment is received and the full service is complete, Caroline will transfer ownership of the website over to you, where you will be prompted to select a Shopify Billing Plan (this is what makes the website active!)

• If full payment has not been received, and there has been no communication from Client for one month or more, Caroline may choose to remove the Client from the account, not transfer ownership of the account to the Client, or delete/remove any or all changes made by Caroline to reflect the amount of payment that has been made.

• If at any time you realize you will not be able to make a payment, or you need an extension, please email Caroline at caroline@ctvirtualservices as soon as possible. I have no problem allowing extensions, if you just let me know. If a payment is missed and I have not heard from you, the late fee will be added. While you are still legally bound by this contract to make timely payments, I am human and understand situations happen. If you make the effort to communicate, we will have no issues. 

• Any works copyrighted, ideas, discoveries, inventions, patents, products, or other information (collectively, the “Work Product”) developed in whole or in part by Service Provider in connection with the Services shall be the exclusive property of the Client after full payment of the Service(s) has been received. Upon request, Service Provider shall sign all documents necessary to confirm or perfect the exclusive ownership of the Client to the Work Product.
